This is a unique chance to get ahead of the curve and become an expert in cannabis law by working with a top mission-driven industry law firm. We are looking for a mid-level transactional associate with one to four years of experience in M&A and emerging company work for our rapidly growing New Jersey and New York offices. You must be comfortable with taking a lead role on smaller transactions. No cannabis experience is necessary; we will teach you everything you need to know.

This position is responsible for advising clients on a broad range of corporate matters. This position will also maintain up-to-date knowledge of industry laws and regulations, perform legal research, and provide updates to and regularly consult with Senior Associate(s) and Partners.

. Requirements:Responsibilities of our Mid-Level Associate include but are not limited to:

  • Assist other lawyers in advising clients concerning business transactions, ranging from simple to complex.
  • Prepare, draft, and review legal documents, such as merger agreements, operating agreements, and shareholder agreements.
  • Perform due diligence.
  • Contribute to the firm’s success by continuously improving client relations, profitability, productivity, and the collective expertise in cannabis law and the industry that defines VS.
  • Attend firm-sponsored events or participate in networking groups.

Qualifications:

  • Juris Doctorate required.
  • Licensed attorney in New York and New Jersey preferred.
  • 1-4 years of experience practicing corporate law with experience in M&A, emerging companies, general corporate work (e.g., operating agreements, leases), and venture work. Must be able to run typical startup legal transactions (e.g., formations, convertible note financings, Series A financings) with minimal oversight.
  • Strong interest, but no prior experience in the cannabis and psychedelic industries required.
  • Must have strong interpersonal skills the ability to work with clients, the public, and individuals at all levels of the organization in a positive, collaborative manner.
  • Experience with Microsoft Office Suite, Adobe Acrobat, Net Docs, Lexis/Nexis, Westlaw, DocuSign, and Clio preferred.
  • Self-motivated with exceptional organization skills and keen attention to detail.
  • Excellent time and deadline management skills in a fast-paced environment, juggling multiple projects and reprioritizing quickly and efficiently.
  • Excellent oral and written communication skills.
  • Must uphold the highest standards of discretion and confidentiality and exercise good judgment on day-to-day decisions.
