Curaleaf’s Assistant General Counsel plays a key role in managing the legal function of the company, from contract law to disputes, department management, and acting as secretary to the Board of Directors. The Assistant General Counsel will manage a broad range of day-to-day legal functions while improving practice and assisting the Chief Legal Officer (“CLO”) in building the department and legal function. This position will report to the CLO and currently manages a team of four, this role can be based in Boston, MA or New York City.

MAJOR LEADERSHIP RESPONSIBILITIES

  • Organizing legal coverage for the day-to-day legal matters of the Company from contract negotiation and review, intellectual property protection, real property, commercial disputes, and securities law compliance
  • Assisting the Chief Legal Officer in developing the legal department and function, including budgeting and staffing, developing and implementing legal department processes and software platforms, budgeting and cost control
  • Assisting the Chief Legal Officer in reviewing disclosures and developing processes to ensure compliance with the Company’s disclosure obligations
  • Hands-on legal support of key legal projects, including the negotiation and conclusion of major contractual matters and managing outside counsel in the conduct of disputes
  • Serving as Secretary to the Board of Directors; preparing for, and attending, Board Meetings; preparing minutes and liaising directly with Directors
  • Work cooperatively with other leaders in the Legal/Compliance/Government Relations, including Employment/Labor, Mergers and Acquisitions, Compliance and Government Relations on major initiatives in these areas
  • Stay abreast of legal, regulatory, and institutional requirements as they apply to the medical and recreational marijuana industry

CRITICAL SUCCESS FACTORS

  • Strong ability to manage a range of legal projects and multi-task
  • Proven legal acumen and the ability to devise and implement bespoke solutions
  • Experience working in a startup, early-stage, and/or high growth industries strongly preferred
  • Securities law/public company experience is a plus; experience working in a regulated environment is also a plus
  • Legal department management experience is a plus
  • Strong communication skills to work with staff, trustees, and other professionals
  • Superior writing, analytical, negotiating, and communication skills
  • Ability to handle confidential information and material with the highest degree of discretion and professional responsibility
  • Ability to work under pressure, handle multiple competing priorities and provide practical legal advice

QUALIFICATIONS

  • J.D. degree from an accredited law school with superior academic credentials
  • 8-12 Years’ experience:
    • 4+ years experience as a practicing lawyer, preferably initially with a prominent national law firm before moving to an in-house position
    • 4+ years of legal practical experience with an in-house legal department
  • Subject to background check per state cannabis regulations
